Creator Terms
1. Overview
These Creator Terms (“Creator Terms”) govern your use of Creator Studio and related creator tools offered by WEBWISE SOLUTIONS LLC (“Sound of Chi,” “we,” “us,” or “our”). They apply when you create a creator account, upload music, publish products, or sell through Creator Studio.
By registering as a creator or continuing to use Creator Studio, you agree to these Creator Terms. Related policies: Terms of Service, Privacy Policy, and Music & Content License (for how buyers may use delivered music).
2. Eligibility and account
You must be at least 18 years old (or the age of majority where you live) and able to enter a binding agreement. You agree to provide accurate registration information and to keep your account credentials secure. You are responsible for activity under your account.
3. Stripe Connect onboarding (required)
To receive payouts from sales, you must complete Stripe Connect onboarding. This is a required step before Sound of Chi can pay you for music sold through Creator Studio.
What is Stripe Connect? Stripe Connect is Stripe’s service for platforms like Sound of Chi to route payments to independent sellers. When a buyer purchases your music, the payment is processed through Stripe. Stripe Connect links your creator account to a Stripe-connected account so your share of each sale can be paid out to you automatically, subject to Stripe’s rules and payout schedule.
Already use Stripe? Even if you have your own Stripe account for another business or project, you must still complete Stripe Connect onboarding for Creator Studio. Your existing Stripe account does not automatically connect to Sound of Chi; Connect creates the separate linked payout profile used for sales on our platform.
During onboarding, Stripe may ask you to verify your identity and provide payout details (for example, bank account or debit card information, business or tax information, and contact details). This is standard for payment providers and helps reduce fraud and comply with financial regulations.
Stripe handles sensitive payment and banking data according to its own terms and privacy policy. Sound of Chi does not store your full bank account or card numbers. We may store a Stripe Connect account identifier to associate your Creator Studio account with your connected payout profile.
You must keep your Stripe Connect account in good standing. If onboarding is incomplete, expired, restricted, or suspended by Stripe, we may pause payouts, limit publishing, or suspend selling until the issue is resolved.
4. Your content and rights
You retain ownership of music, artwork, and other materials you upload (“Creator Content”). You grant Sound of Chi a limited, non-exclusive license to host, display, stream previews, deliver files to buyers, process orders, and operate showrooms, checkout, and related platform features.
You represent that you own or control all rights needed to upload, sell, and deliver your Creator Content, including composition, recording, performance, sample, and artwork rights. You are responsible for any claims arising from content you publish.
5. Products and pricing
You may set prices for eligible products you publish, subject to any limits or guidelines we publish in Creator Studio. Prices shown to buyers are the amounts charged at checkout, before payment processing and platform fees are deducted from your payout.
6. Fees and economics
Creator Studio is designed so you can start without a monthly platform fee. Sound of Chi earns when your music sells.
- Monthly platform fee to start: $0
- Platform fee per sale: 20% of the gross sale price
- Payment processing: Standard payment processing fees (for example, Stripe card processing) are deducted from the transaction. These fees are not retained by Sound of Chi.
- Active seller credit: No monthly hosting fee applies in any calendar month where your creator account generates at least $25 in gross sales.
- Below active seller threshold: If monthly gross sales are below $25, a $5.00/month hosting fee may apply to keep published showroom pages, buyer delivery, hosting, and tracking tools active.
Beta creators: During the beta period, the monthly hosting fee is waived. After beta ends, standard pricing described above applies. We will provide reasonable notice before beta pricing changes take effect.
Example: On a $10.00 sale, Sound of Chi’s 20% platform fee is $2.00. Estimated Stripe processing might be about $0.64 (2.9% + $0.35 example). Your estimated payout would be about $7.36, subject to actual processing costs, refunds, chargebacks, and taxes.
7. Payouts
Payouts are sent through your connected Stripe account after eligible sales clear and any applicable refunds, disputes, or adjustments are accounted for. Timing depends on Stripe’s payout schedule, your country, account status, and bank processing times.
We may withhold or reverse payouts related to refunded orders, chargebacks, suspected fraud, policy violations, or unpaid hosting fees. Minimum payout thresholds, if any, will be shown in Creator Studio or Stripe.
8. Refunds, disputes, and chargebacks
Buyer refunds and payment disputes are handled according to platform policies and applicable law. If a sale is refunded or charged back, the related platform fee, processing fees, and creator share may be reversed from your balance or future payouts.
Repeated disputes, abusive refund patterns, or buyer complaints may lead to account review, suspension, or termination.
9. Platform tools and delivery
Creator Studio may include hosted showrooms, private buyer delivery links, downloads, order notifications, and ClickMeter.io tracking support. These tools are provided to help you sell and measure traffic. Fair-use limits may apply. We may change, improve, or discontinue features with reasonable notice where practical.
10. Account inactivity and hosting
An account may be considered inactive if you do not sign in for an extended period, leave published products without meaningful sales activity, or fail to maintain required Stripe Connect onboarding.
If monthly gross sales stay below $25 (after beta), the applicable hosting fee may be charged to keep your published pages and delivery tools active. Unpaid fees, prolonged inactivity, or failure to complete Stripe Connect onboarding may result in unpublishing, payout holds, or account suspension after notice where appropriate.
11. Prohibited conduct
You may not upload or sell content you do not have rights to use, infringe intellectual property, mislead buyers, harass others, distribute malware, circumvent platform fees, scrape buyer data, or use Creator Studio for unlawful purposes.
12. Suspension and termination
We may suspend or terminate creator access for violations of these Creator Terms, legal risk, non-payment of applicable fees, Stripe account restrictions, or harm to buyers or the platform. On termination, your right to use Creator Studio ends. We may unpublish products and handle outstanding payouts or obligations as permitted by law and Stripe’s policies.
13. Taxes
You are responsible for determining and paying taxes owed on your creator earnings. We may collect tax information through Stripe or other required channels and may issue tax forms where required by law.
14. Disclaimers and limitation of liability
We do not guarantee any level of sales, traffic, chart performance, or audience growth. Creator Studio is provided on an “as is” and “as available” basis to the extent permitted by law. Our total liability arising from your use of Creator Studio is generally limited to fees you paid us directly for creator services in the prior twelve months, except where liability cannot be limited by law.
15. Changes
We may update these Creator Terms from time to time. The effective date at the top will change when we do. Material changes may be communicated through Creator Studio, email, or the Sound of Chi website. Continued use after updates constitutes acceptance of the revised Creator Terms, to the extent permitted by law.
